Officially, SoundTown Festival is canceled. From their front page of their website, the promoters made this announcement yesterday (July 12th):
Pre-sale tickets were to blame, and financially wouldn't make any sense to go forward with the music festival, considering that big band names like Florence + the Machines, Jane's Addiction, and Weezer, probably would cost quite a pretty penny.

We wish we didn’t have to share this news with all of our loyal fans: SoundTown Music & Camping Festival has been cancelled for 2012.
We would have loved to have SoundTown at the Somerset Amphitheater this year, unfortunately the ticket threshold wasn’t met and promoters had to make a difficult decision to cancel the event.
From the start, we’ve greatly appreciated all of your feedback relating to the 2012 festival. Your excitement around our artists was always great to see!

We wish we didn’t have to share this news with all of our loyal fans: SoundTown Music & Camping Festival has been cancelled for 2012.
We would have loved to have SoundTown at the Somerset Amphitheater this year, unfortunately the ticket threshold wasn’t met and promoters had to make a difficult decision to cancel the event.

First of all, I hate the name. FoolsFest sounds like you are a fool to attend or you're seeing fools on stage … but that's just my opinion. Also, there is already a festival called Fool's Fest, which just took place in March.
This music festival is hoping to launch with the idea of bringing the best of the European-style Greenfield music and arts festival to the US. The promoter mentioned that American festivals lack a community feel and intend to keep it strictly independent without the "corporate machine".
They are trying to make FoolsFest a reality with a Kickstarter Project.
The other problem I have is that the festival will be taking place in Texas. To me, this would require you to live in the area to really benefit from the festival to start.
The last problem: it needs to reach 2.5 million dollars to get funded. It's a lot to ask, considering you have no idea what type of music or bands will be playing.

Basilica Music Festival, in association with Pitchfork, announced their shows this year. Curated Pitchfork's Brandon Stosuy and Brian DeRan of Leg Up Management, they are aiming for "specific connections and overlaps", instead of festival-style overload.
To be honest, I haven't heard of many of these bands, with the exception of of Gang Gang Dance and Liturgy, which we have previously covered.
They just added the Saturday Sunset Cruise, which looks fun. Can already hear people singing "I'm on a Boat" song.

Since the date spans five months and takes place over various locations (Museum of the African Diaspora, Herbst Theatre, Davies Symphony Hall, etc) - it's too numerous to list, so if you plan on attending SFJAZZ, I suggest you look over their events page.
All this might change by next year when the SFJAZZ Center opens up in January. Apparently, according to their bio, the SFJAZZ Center will be the only stand-alone building devoted to jazz in the United States. Grand opening is on January 21, 2013.
